This Agreement is entered into between Melon Local LLC (“Melon Local”) and the subscribing Allstate Insurance Agency/Agent (“Agent” or “Client”). By signing this agreement, Agent legally agrees to fulfill all operational, compliance, and security obligations set forth herein.
1.1 Administrative Access. Agent shall grant Melon Local standard administrative or manager-level access to all digital platforms necessary for service execution, including Facebook, Instagram, LinkedIn, and Google Business Profile (GBP).
1.2 Credential Safety & Account Active State. Agent shall ensure all access permissions, API connections, and credentials granted to Melon Local are authorized, valid, and unencumbered. Agent shall maintain all social media, search, and directory accounts in an active state.
1.3 Platform Re-Authentication & Status Notification. Agent agrees to promptly notify Melon Local of any platform restriction, suspension, verification requirement, or access change affecting its accounts. Agent shall reasonably cooperate with Melon Local to execute periodic account re-authentications, credential verifications, and re-linking protocols as required by platform security standards.
2.1 Asset Delivery. Agent shall provide office photos, team headshots, staff bio details, and local community updates required for creative content generation.
2.2 Intellectual Property Warranty. Agent represents and warrants that it owns or holds all necessary rights, licenses, and permissions for all media, photos, logos, and trademarks provided to Melon Local, and that Melon Local’s authorized use of these materials will not infringe upon any third-party intellectual property or privacy rights.
2.3 Media Usage & License Grant. Agent hereby grants Melon Local a license to use, reproduce, modify, display, distribute, and create derivative works from all agency-provided media, photography, graphics, and social media collateral for both internal business operations (including training, product development, and archiving) and external promotional usages (including marketing materials, case studies, website portfolios, and public presentations).
2.4 Artificial Intelligence (AI) Content Generation. Agent explicitly acknowledges, authorizes, and agrees that Melon Local will utilize approved artificial intelligence (AI) tools to assist in creating, drafting, rendering, and optimizing social media content, post copy, and creative assets for Agent’s agency.
3.1 Allstate Compliance Oversight. Agent acknowledges that as an independent contractor or franchise agent of Allstate Insurance Company, Agent retains sole and exclusive responsibility for reviewing and approving all ad copy, social posts, landing pages, and marketing collateral (including all AI-assisted content) to ensure strict compliance with Allstate corporate branding rules, state insurance department regulations, and legal disclosures.
4.1 Active Participation. Agent shall actively participate in scheduled strategy sessions, onboarding calls, and performance check-ins with assigned Melon Local Client Success Managers.
4.2 Review Timelines & Auto-Approval. Agent agrees to approve or deny submitted campaign drafts, creative assets, or ad copy within 3 business days of receipt or it will automatically be approved and posted.
4.3 Operational Changes. Agent shall notify Melon Local in writing within three (3) business days of any agency operational changes, including address relocations, telephone number updates, business sales/closures, or staff updates.
5.1 Sales & Quoting Operations. Agent maintains sole responsibility for contacting incoming leads, performing policy quotes, underwriting, and closing insurance sales generated via Melon Local campaigns.
5.2 Review Disputes & Complaints. Agent retains sole responsibility for directly resolving policyholder complaints, formal disputes, or complex negative online feedback. Melon Local’s reputation management duties are strictly limited to posting pre-approved, standardized templates.
